Terms of Service

1. Agreement to Terms
By engaging Commercemate ("we," "us," or "our") for services, you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Services
Commercemate provides ecommerce design, development, conversion rate optimization (CRO), and ongoing support services for Shopify and BigCommerce merchants. The scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties.
3. Payment Terms
Fees are outlined in the applicable SOW or invoice. Unless otherwise agreed, invoices are due within 14 days of issuance. We reserve the right to pause work on any project with outstanding balances past 30 days. All fees are non-refundable unless explicitly stated otherwise.
4. Intellectual Property
Upon receipt of full payment, all custom work product created exclusively for the Client becomes the Client's property. Commercemate retains the right to display completed work in our portfolio unless the Client requests otherwise in writing. Any pre-existing tools, frameworks, or third-party assets used remain the property of their respective owners.
5. Client Responsibilities
Clients are responsible for providing timely feedback, necessary access credentials, and approved content required to complete the project. Delays caused by the Client may affect timelines and do not entitle the Client to a refund or fee reduction.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the agreement.
7. Limitation of Liability
Commercemate's total liability for any claim arising from our services shall not exceed the fees paid by the Client in the 90 days preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data loss.
8. Termination
Either party may terminate an engagement with 14 days' written notice. The Client is responsible for payment of all work completed up to the termination date. Commercemate reserves the right to terminate immediately for non-payment or breach of these terms.
9. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Los Angeles County, California.
